Business Terms

These Business Terms govern the use of the SPARKLLEX Business Portal and platform by businesses that list products or services for delivery through SPARKLLEX LLC.

1. Acceptance of these terms

By creating a business account and using the Business Portal, you accept these Business Terms in addition to the general Terms and Conditions and the Privacy Policy.

2. Business account and verification

  • You must provide accurate business, tax and contact information and keep it up to date.
  • You must verify ownership of, or authorization to operate, the business you register.
  • We may request additional documentation to confirm your business before activation.

3. Catalog and pricing accuracy

You are responsible for the accuracy of your menu or catalog, prices, availability and opening hours shown to customers. You must update them promptly when they change.

4. Order acceptance and fulfillment

  • You must accept or decline incoming orders promptly from the Business Portal.
  • You must prepare accepted orders within the timeframe shown in the app.
  • You must hand off orders to the assigned SPARKLLEX driver in the condition and packaging agreed.

5. Fees and payouts

Commissions, service fees and payout schedules are set out in your commercial agreement with SPARKLLEX LLC or shown in the Business Portal. Payments are processed through certified providers.

6. Delivery handled by SPARKLLEX

Delivery of orders placed through SPARKLLEX is performed by independent drivers on the SPARKLLEX network. SPARKLLEX LLC is not responsible for delays caused by incorrect order information provided by the business.

7. Cancellations and refunds

Cancellation and refund rules are shown in the Business Portal and may vary depending on the order status at the time of cancellation.

8. Prohibited items and conduct

You may not list products or services that are illegal, counterfeit, or prohibited by applicable regulation. We may remove listings or suspend accounts that violate this rule.

9. Suspension and termination

We may suspend or terminate a business account for violation of these terms, repeated valid customer complaints, or fraudulent activity. You may close your business account at any time by contacting us.

10. Intellectual property

You grant SPARKLLEX LLC a limited license to display your business name, logo and catalog within the app and marketing materials for the purpose of operating the platform.

11. Liability

SPARKLLEX LLC acts as a technology intermediary connecting businesses, customers and drivers. To the extent permitted by law, we are not liable for indirect damages or lost profits arising from use of the platform.

12. Changes to these terms

We may update these Business Terms. The current version is always available on this page, and material changes will be communicated to registered businesses.

13. Governing law

These Business Terms are governed by the laws of Massachusetts, United States.
